By accessing or using Memoclip ("Service", "Application", "App"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Accounts

Account Creation

To use certain features of Memoclip, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use
• Be responsible for all activities under your account

Account Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Illegal or fraudulent activity
• Extended period of inactivity
• Non-payment of fees

3. Subscription and Payments

Pricing

Memoclip offers the following plans:

• Free Plan: Limited features, no payment required
• Pro Plan: $1.49/month or $9.50/year (50% early bird discount)
• Lifetime Plan: $24 one-time payment (50% early bird discount)

Billing

For subscription plans:

• Billing occurs automatically on a recurring basis (monthly or yearly)
• You authorize us to charge your payment method on file
• Subscriptions auto-renew unless canceled before the renewal date
• Price changes will be communicated 30 days in advance

Refunds

We offer a 14-day money-back guarantee:

• Request a full refund within 14 days of purchase
• Refunds processed within 5-10 business days
• After 14 days, subscriptions are non-refundable
• Lifetime plans are refundable only within 14 days

Cancellation

You may cancel your subscription at any time:

• Cancel through your account settings or by contacting support
• Access continues until the end of your billing period
• No partial refunds for unused time after 14-day guarantee

4. License and Use

License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Install and use Memoclip on devices you own or control
• Access and use the Service in accordance with these Terms
• Use the Service for personal or internal business purposes

Restrictions

You agree NOT to:

• Modify, reverse engineer, or decompile the Application
• Remove or alter any proprietary notices
• Use the Service for illegal or unauthorized purposes
• Attempt to gain unauthorized access to our systems
• Resell, redistribute, or sublicense the Service
• Use the Service to transmit viruses or malicious code

5. User Content

You retain ownership of all clipboard data you store in Memoclip. By using the Service:

• You grant us permission to store, process, and sync your content as necessary to provide the Service
• You are responsible for ensuring you have rights to copy and store content
• You agree not to store illegal, infringing, or harmful content
• We may remove content that violates these Terms

We do not claim ownership of your clipboard data. See our Privacy Policy for how we handle your data.

6. Intellectual Property

The Memoclip application, including all software, design, text, graphics, and other content, is owned by Memoclip and protected by copyright, trademark, and other intellectual property laws.

Unauthorized use of any Memoclip intellectual property is prohibited and may result in legal action.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of content

Your use of the Service is at your own risk. We are not responsible for data loss, though we make reasonable efforts to prevent it.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMOCLIP SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Service interruptions or errors
• Unauthorized access to your data

Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless Memoclip and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you store or transmit through the Service

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending email notification for material changes

Your continued use of the Service after changes constitutes acceptance of the new Terms.

11. Termination

Either party may terminate this agreement:

• You: Delete your account at any time through account settings
• Us: Terminate or suspend your access for violation of these Terms

Upon termination, your right to use the Service ceases immediately. Provisions that should survive termination (e.g., warranty disclaimers, limitations of liability) will continue to apply.

12. Governing Law
